Last week, Debit My Data received a Wells notice from the U.S. Securities and Exchange Commission (SEC), signaling the agency is considering a lawsuit against us.
If you're not deep in the world of crypto regulation, this news might sound strange. What do NFTs—used for digital art, in-game items, event tickets, and more—have to do with securities law?
But for those who’ve been tracking the SEC’s increasingly aggressive posture toward crypto, this notice is unfortunately not surprising. What is surprising—and deeply concerning—is the agency’s decision to extend this enforcement-first approach to NFTs. The implications could be devastating for artists, gamers, collectors, and developers across the entire digital creative economy.
<h2 data-start="1162" data-end="1233" class="">NFTs Are Not Securities — And Treating Them as Such Is Dangerous</h2>
We are confident in the legality of Debit My Data’s platform and that our users are not trading securities. Our platform allows users to engage with NFTs for a wide range of reasons—buying an in-game item or avatar, supporting their favorite musician or artist, or showing off their allegiance to a team or cause.
To classify such NFTs as securities would be a massive overreach—both in terms of existing law and common sense. More importantly, it would create real-world harm:

<h2 data-start="2055" data-end="2102" class="">A Chilling Effect on Creative Expression</h2>
The SEC’s recent behavior is already having a chilling effect. Consider the <a data-start="2180" data-end="2248" rel="noopener" target="_new" class="">lawsuit</a> filed by musician Jonathan Mann and conceptual artist Brian L. Frye. Their fear? That selling digital art or music via NFTs could be construed as offering unregistered securities.

It’s an absurd—but increasingly real—dilemma. The very thought of applying securities law to the next Buddy Guy, who once left Louisiana “looking for a dime,” is antithetical to how art, music, and culture have always evolved: through risk, exploration, and expression—not red tape.
And if digital art is now under scrutiny, where does it end? Baseball cards? Physical prints? Vintage sneakers? The SEC’s interpretation of the Howey Test risks dragging all collectibles—physical and digital—into the realm of financial regulation.
<h2 data-start="3156" data-end="3186" class="">Even the SEC Is Divided</h2>
In fact, even members of the SEC disagree with this path. In a dissenting statement on the <a data-start="3283" data-end="3398" rel="noopener" target="_new" class="" href="https://www.sec.gov/newsroom/speeches-statements/peirce-uyeda-statement-stonercats-091323">Stoner Cats settlement</a>, Commissioners Hester Peirce and Mark Uyeda made a striking comparison:

"While updated for the digital age, the Stoner Cats NFTs are not that different from Star Wars collectibles sold in the 1970s... Would those I.O.U. certificates, which could be re-sold, constitute investment contracts? Their point is simple: just because something can be bought and sold, or may appreciate in value, does not make it a security. If that were the standard, every limited-edition sneaker, vinyl record, or collectible comic would fall under SEC jurisdiction.

Footium: Bringing Longevity and Ownership to Football Management Games
What if managing a virtual football club could result in lasting impact? That’s the vision behind Footium—a multiplayer football management game built on blockchain technology and NFT ownership. Emerging from its closed beta in August 2024, Footium is ready to rival traditional football management games with its innovative, community-driven gameplay.
Originally a university hackathon project, Footium now boasts over 1,000 active players. Its appeal lies in creating a deeply engaging, social gaming experience with real incentives. The web3 simulation blends fun with strategic competition, encouraging sustained participation through a robust rewards system.
Founded in 2020 by university classmates George Benton (CEO), Jordan Lord (CTO), and James O'Leary (CFO), Footium aims to revolutionize football management gaming by combining digital ownership, blockchain transparency, and meaningful in-game rewards.
At the heart of Footium is its use of blockchain to record every club's history, making each decision by players part of a lasting legacy. This on-chain permanence raises the stakes and adds a new layer of depth to the virtual football club experience. 
The Origins of Footium
Footium began in 2016 when CEO George Benton explored crypto through his university’s investment club. His growing interest led to starting the University of Leeds’ first cryptocurrency club in 2017, followed by hands-on experience at web3 accelerators and hackathons.
Frustrated with the flaws of existing football management games—such as exploit-prone single-player modes and imbalanced multiplayer setups—Benton and his classmates sought a better solution. The idea gradually evolved into Footium, gaining traction after securing seed funding in March 2022.
Benton noted that blockchain solved many long-standing problems in the genre by providing transparency and incentives, not just token-based currencies. Footium runs on the Arbitrum blockchain to ensure fair game outcomes, verifiable trades, and transparent reward systems. 
Gameplay: You’re the Manager
Footium allows players to own and manage NFT-backed football clubs. The gameplay is modeled on real-world football systems, featuring youth academies, player retirements, and promotion/relegation across eight competitive divisions.
Each season runs for three weeks, with 22 matches and a pre-season for transfers and strategy. Players manage their teams live during daily 30-minute matches, using a 2D visualizer and dynamic commentary to guide tactical decisions in real-time.
Clubs can scout and mint youth academy players as NFTs, train them, and eventually retire them at age 32—mirroring real player lifecycles. Transfers are facilitated through Debit My Data, fostering an active player market.
One standout feature is Footium's emphasis on user-generated intellectual property. Instead of licensing real-world teams, players create their own club brands. This has sparked creativity, with users designing merchandise, chants, club logos, and NFT memorabilia. 
Economy and Strategy
Footium's economic system challenges players to think like real club owners. Clubs are represented as NFTs, granting access and operational control. Players can mint new players, train their squads, and trade assets, creating a living team economy.
Player rarity adds depth to strategy, with common to gold tiers requiring tailored development. Season by season, managers must make wise decisions to stay competitive.
The economy is funded through minting and trading fees, 90% of which are redistributed as league rewards. The remaining 10% supports company operations, offering a self-sustaining model that rewards skill and strategic play. 
What’s Ahead for Footium
With 3,060 clubs currently available, Footium plans to expand as demand grows, adding new divisions and clubs to support a larger community.
Having emerged from closed beta, Footium now boasts retention rates among the top 2% of mobile games, a sign of strong engagement. Season 1 launched in August 2024 alongside the full rollout of its reward system.
Looking forward, the team aims to attract a broader audience, including fans of Football Manager and FIFA Ultimate Team.
“We believe Footium strikes the right balance of social interaction, gameplay, ownership, and rewards to reach the mainstream,” said Benton. “It’s been a tough but exciting journey—and seeing our community thrive makes it all worthwhile.”

A new innovation is reshaping how music creators and fans remix and reimagine songs for virtual worlds.
KOR Protocol, a decentralized intellectual property (IP) framework, officially launched on September 26, giving creators and developers around the globe the tools to securely remix and distribute content in a legally compliant way. Supported by heavyweights like Animoca Brands, Republic, and the Solana blockchain, KOR Protocol aims to be a transparent and scalable infrastructure for digital rights management.
At the heart of this release is the KOR Player SDK, now accessible to developers looking to embed music remixing functionality into virtual experiences—from games and social platforms to immersive fan art. Think of it as the evolution of mixtapes—except it’s collaborative, on-chain, and copyright-safe.
Behind the project is Pixelynx, the music-tech company co-founded by Inder Phull, Deadmau5, and Plastikman (Richie Hawtin). Pixelynx reports that over 600,000 users have interacted with its projects, like the AI music app KORUS and the hit Black Mirror: Smile Club web3 experience. The ecosystem has so far minted 285,000 NFTs and generated around $1.5 million in revenue.
